Client Service Agreement

This is the single agreement that governs how we work together. It covers our terms of business, service commitments, and your rights as a client. Individual projects are then covered by simple Order Forms issued under this agreement.

This agreement sets out the complete terms under which Known & Cited Ltd provides services to you. It replaces any previous Client Service Agreement and Terms of Business. Individual projects are governed by Order Forms issued under this agreement.

Part A — Definitions and Scope

1. Definitions

"K&C", "we", "us" means Known & Cited Ltd (company number 17089977). "Client", "you" means the person or organisation identified in the acceptance form or Order Form. "Services" means the services described in clause 2. "Order Form" means a document specifying services, deliverables, timeline, and fees for a particular engagement. "AVS" means AI Visibility Strategy. "GEO" means Generative Engine Optimisation.

2. Services

K&C provides AI business intelligence services under the AI Visibility Strategy name. Our Services measure how businesses appear in Large Language Model (LLM)-generated answers across major AI platforms including ChatGPT, Google AI and Perplexity (additional platforms available by request). Specifically, K&C provides:

PR and media relations are not covered by this agreement. K&C operates a referral model for PR services.

3. Engagement Process

Our Services are delivered through a structured five-stage process:

  1. Discovery — Initial consultation to understand your objectives, business scope, and market focus.
  2. Query Development — Crafting targeted search queries relevant to your industry, products, and competitive landscape.
  3. Data Collection — Executing queries across specified AI platforms and capturing LLM responses.
  4. Analysis — Processing collected data to generate insights on business mentions, sentiment, positioning, and competitive metrics.
  5. Delivery — Providing a comprehensive report with findings, visualisations, and strategic recommendations.

Timelines and deliverable specifications are confirmed in the relevant Order Form.

Part B — Ordering, Pricing and Payment

4. Ordering Process

4.1 All work is governed by Order Forms issued under this agreement.

4.2 An Order Form specifies the services, deliverables, timeline, fees, and any special conditions for that engagement.

4.3 An Order Form becomes binding when signed by both parties (including electronic signature) or when the Client makes payment.

4.4 In the event of conflict between this agreement and an Order Form, the Order Form takes precedence for that engagement.

5. Pricing

5.1 Published pricing is available on our website and may be updated from time to time. Current standard pricing is as follows:

AI DiscoveryBespoke (POA)Strategic AI insights and recommendations. Every AI Discovery engagement is scoped individually based on an initial call and written brief; we do not publish a day rate or package price for this service.

5.2 Consultancy and advisory services are charged at a a bespoke day rate scoped per engagement unless otherwise specified in the Order Form.

5.3 Once an Order Form is signed, the fees stated in that Order Form are fixed for the duration of that engagement.

5.4 Annual retained programmes lock pricing for 12 months from the date of the first Order Form.

6. Fees and Payment

6.1 Fees are as stated in the relevant Order Form.

6.2 Unless otherwise specified in the Order Form, the standard payment terms are: 50% payable on confirmation of the order; 50% payable on delivery of the final report or completion of the engagement.

6.3 AVS Annual, Bi-Annual and Quarterly subscriptions are invoiced annually in advance and require a minimum 12-month commitment. These auto-renew unless the Client provides 30 days’ written notice before the renewal date.

6.4 AI Discovery and one-off consultancy engagements are invoiced upfront unless otherwise agreed.

6.5 All invoices are payable within 14 days of the invoice date.

6.6 All prices are exclusive of VAT. K&C is not currently VAT registered. VAT will be applied if and when K&C reaches the VAT registration threshold.

6.7 Late payments may be subject to statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 and may result in suspension of Services.

Part C — Delivery and Limitations

7. Deliverables, Methodology, and Important Limitations

7.1 K&C delivers work using reasonable skill and care, consistent with industry standards.

7.2 AI Visibility Strategy reports represent a snapshot at a specific point in time. AI model behaviour is probabilistic and subject to change. LLM behaviour, algorithms, and training data change frequently; our findings may not reflect current LLM outputs at any later date.

7.3 Recommendations are based on informed assessment and best available evidence. K&C does not guarantee specific citation scores, AI visibility outcomes, or any commercial result.

7.4 GEO is an emerging discipline. K&C does not claim proprietary knowledge of how AI models decide what to cite.

7.5 Citation scores will fluctuate — in some cases significantly — on a weekly or even daily basis. This is normal LLM behaviour, not an indication that recommendations are or are not working. K&C does not measure or report on short-term fluctuations.

7.6 The appropriate measurement cadence is quarterly. K&C looks for meaningful signals of directional change over time, not point-in-time percentage movements.

7.7 Periodic re-measurement is recommended but not obligatory.

We do not warrant that Services will:

Result in increased business visibility or commercial outcomes; provide predictive insights or forecasts; identify all business mentions across LLM platforms; or guarantee consistent LLM responses across time. Clients use the Services on an “as-is” basis. We disclaim all implied warranties, including fitness for a particular purpose.

8. Your Responsibilities

8.1 You will provide timely access to information, assets, and personnel reasonably required for K&C to deliver the services.

8.2 You will designate a single point of contact for each engagement.

8.3 Feedback and approvals will be provided within 5 business days unless otherwise agreed.

8.4 You are responsible for implementing recommendations. K&C provides strategic guidance but does not guarantee implementation outcomes.

8.5 You are responsible for ensuring your instructions comply with data protection law.

Part D — Intellectual Property and Confidentiality

9. Intellectual Property

9.1 All deliverables (reports, documents, recommendations) are licensed to you for internal business use upon full payment.

9.2 K&C retains ownership of its methodology, frameworks, templates, and processes, including the AI Visibility Strategy framework, the 12 Key Factor Pillars, proprietary query frameworks, and data collection processes.

9.3 K&C retains all rights to aggregated benchmarking data and industry insights.

9.4 Clients may not reverse-engineer, reproduce, or commercialise our methodology without prior written consent.

9.5 K&C may reference the existence of the client relationship (but not specific results or data) for marketing purposes unless you object in writing. Where K&C wishes to reference a successful engagement in detail, your prior written approval will be sought.

10. Confidentiality

10.1 Both parties agree to keep confidential all information received from the other party that is not publicly available. This includes business strategies, financial data, proprietary queries, and competitive intelligence.

10.2 K&C will never share your AVS scores, audit results, strategic recommendations, or competitive benchmarking data with any third party, including your competitors, except as required by law or in aggregate, anonymised benchmarking data.

10.3 Clients agree to keep K&C’s methodology, pricing structures, and proprietary processes confidential.

10.4 Confidentiality obligations survive termination of this agreement for 2 years.

Part E — Data Protection

11. Data Protection

11.1 K&C processes personal data in accordance with UK GDPR and the Data Protection Act 2018.

11.2 K&C’s Privacy Policy is available at knownandcited.com/privacy-policy.

11.3 Personal data collected during engagements is used solely for service delivery and client management.

11.4 We do not collect personal data from LLM outputs; we analyse business mentions and sentiment only.

Part F — Liability and Insurance

12. Limitation of Liability

12.1 K&C’s total liability under any Order Form shall not exceed the fees paid under that Order Form (or, for claims not tied to a specific Order Form, the fees paid by the Client in the 12 months preceding the claim).

12.2 K&C is not liable for indirect, incidental, consequential, or special losses, including loss of revenue, profits, data, reputation, business opportunity, or anticipated savings.

12.3 K&C is not liable for decisions made based on our reports or analysis, or for third-party claims or regulatory action arising from the use of our deliverables.

12.4 These limitations apply regardless of the cause of action, whether in contract, tort, negligence, or otherwise.

12.5 Nothing in this agreement limits liability for death, personal injury caused by negligence, or fraud.

13. Professional Indemnity Insurance

13.1 K&C maintains Professional Indemnity insurance of £1,000,000 with Hiscox (policy reference: PL-PSC10003914118/00).

13.2 Evidence of cover is available on request.

Part G — Cancellation and Termination

14. Cancellation

14.1 Before query development commences: Full refund of any upfront payment.

14.2 After query development: Upfront payment retained; Client responsible for any third-party costs incurred.

14.3 During or after data collection: Full engagement fee applies; K&C may deliver interim findings as completed.

14.4 AVS Annual, Bi-Annual and Quarterly subscriptions may be cancelled with 30 days’ written notice before the renewal date. No partial refunds are given for the current subscription period.

15. Termination

15.1 Either party may terminate this agreement with 30 days’ written notice.

15.2 Termination of the master agreement does not affect Order Forms already in progress.

15.3 If you terminate an Order Form before delivery, fees paid to date are non-refundable. K&C will deliver any work completed to that point.

15.4 K&C reserves the right to suspend Services if payment obligations are not met or if the engagement violates this agreement or applicable law.

Part H — General Provisions

16. Dispute Resolution

16.1 This agreement is governed by the laws of England and Wales.

16.2 Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation. If unresolved after 30 days, either party may pursue remedies through the courts of England and Wales.

17. General

17.1 Entire agreement: This agreement, together with any Order Forms, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements (including any previous Client Service Agreement or Terms of Business).

17.2 Amendment: K&C may amend this agreement with 30 days’ written notice. Continued use of our Services after the notice period constitutes acceptance of amended terms. Amendments to individual Order Forms must be agreed in writing by both parties.

17.3 Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force.

17.4 Assignment: Clients may not assign this agreement or any engagement without K&C’s written consent. K&C may assign to successors or affiliates upon written notice.

17.5 Electronic acceptance: This agreement may be accepted electronically. Electronic acceptance constitutes a valid and binding agreement under the Electronic Communications Act 2000.
